Terms of Service

Welcome to OpenAgents. These Terms of Service ("Terms") govern your access to and use of the OpenAgents platform, including our website, APIs, and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

OpenAgents provides a unified platform for accessing multiple AI language models, including but not limited to GPT-4, Claude, and Gemini. The Service includes:

  • Access to various AI models through a single interface
  • Smart routing to select optimal models for different tasks
  • Team workspace and collaboration features
  • Usage tracking and billing management
  • Conversation history and management

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized access to your account
  • Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Generate content that is harmful, abusive, or discriminatory
  • Attempt to circumvent usage limits or billing mechanisms
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems to access the Service without permission
  • Impersonate others or misrepresent your affiliation

5. Billing and Payments

Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to:

  • Pay all applicable fees as described in your selected plan
  • Provide valid payment information
  • Authorize recurring charges for subscription renewals
  • Pay for any overage charges incurred beyond your plan limits

All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to modify pricing with 30 days' notice.

6. Intellectual Property

The Service and its original content, features, and functionality are owned by OpenAgents and are protected by copyright, trademark, and other intellectual property laws. You retain ownership of content you create using the Service, subject to any licenses granted to us.

7. User Content

You are solely responsible for the content you submit to the Service. By submitting content, you grant us a limited license to process that content as necessary to provide the Service. We do not claim ownership of your content and will not use it to train AI models without your explicit consent.

8. Third-Party Services

The Service integrates with third-party AI providers (such as OpenAI, Anthropic, and Google). Your use of these integrations is subject to the respective terms and policies of those providers. We are not responsible for the content generated by third-party AI models.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR PURPOSES. YOU USE THE SERVICE AT YOUR OWN RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENAGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless OpenAgents, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will remain in effect.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.
